FOUNDATION OF WOMEN ENGINEERS INTEGRITY PO§ 1 Name, Company and Registered Office

The name and business name of the foundation shall be the Womengineer Foundation. The foundation is headquartered in Stockholm.

§ 2 Purpose and Objectives

The foundation will work to increase the number of women and non-binary people in technical post-secondary education.

The Foundation shall fulfill its purpose by conducting the activities that the Foundation takes over from the non-profit association Womengineer and through this work to increase the number of women in technical post-secondary education. The target group is women and non-binary people who intend to study, are studying, or have studied to become an engineer. The Foundation's purpose is to be a source of information and inspiration for the target group. 

The foundation's main activities are the online platform Womengineer and the event Introduce a Girl to Engineering day. Other activities include all possible ways of interacting with the target group and its stakeholders, both online and offline. In writing, orally and in personal meetings. 

Examples of activities that the foundation can undertake to achieve its purpose may include:

  1. Personal meetings between the target group
  2. Talks and lectures for the target group directly or with its stakeholders
  3. Participation in (for the target group relevant) trade fairs and conferences

The Foundation's activities may be conducted through commercial activities.

§ 3 Organization

The Foundation's affairs shall be managed by a board of directors, which may appoint other persons to carry out work on behalf of the Foundation, e.g. project managers or similar assignments. The board is appointed for a term of two (2) years and shall consist of a minimum of three (3) and a maximum of seven (7) persons. Womengineer's founders (Emelie Emanuelsson and Marie Ideström) are permanent members of the board and cannot be removed. They may voluntarily resign if they so wish. Other members may be re-elected and removed. The board elects a chairman, appoints and dismisses members and constitutes itself. The board has a quorum if more than half of the total number of members are present. Decisions are made by simple majority; in the event of a tie, the chairman has the casting vote. 

§ 4 Compensation for work

The Board and other persons who perform work for the Foundation shall have the opportunity to receive reasonable compensation for their work. What constitutes reasonable compensation shall be decided by the Board for each new financial year. 

§ 5 Company signature

The Foundation's name is signed by the Board and by two of the members in association. Furthermore, the Board may authorize another person to sign the Foundation's name. The Board may revoke such authorization at any time.

§ 6 Operating year

The Foundation's operating year and fiscal year are calendar years.

§ 7 Minutes

Minutes shall be taken at board meetings. The minutes shall be checked by the chairman and another board member and kept in a secure manner.

§ 8 Management and administration costs

The lowest possible costs shall be sought for management, administration and other activities of the Foundation.

§ 9 Audit

The Board shall appoint an authorized or approved auditor to audit the Foundation's accounts and administration.

§ 10 Supervision

The foundation shall be supervised in accordance with the applicable law on foundations.

§ 11 Amendment of provisions

A full and unified board may, without permission from the Swedish Public Administration and Public Finance Board or a supervisory authority, amend, repeal or override the provisions of these statutes that relate to matters other than the Foundation's purpose.

§ 12 Dissolution

If the Foundation were to be dissolved for any reason, the Foundation's debts shall be paid and the remaining assets shall then be distributed in accordance with the purpose. the processing of personal data, or any other question, you can email us at info@womengineer.org.
